FSX Plans To Issue New Shares To Gortune Group To Boost Its Strategic Competitiveness

Finansia X Public Company Limited (FSX) Group announced through the SET it is undertaking preparations to enhance its competitiveness and services through a strategic partnership with Gortune International Investment Holding Company (Gortune), a prominent Chinese investment group with a shareholders’ equity of 16 billion RMB (approximately 80 billion Baht) and its affiliated companies.

The initiative stems from challenges in the financial services sector to compete in technological advancements which is seen as the key driver to customer acquisition and growth. The transaction will involve acquisitions of both new and existing shares including a private placement of up to 288 million new shares issued to Gortune and affiliates.

Following the acquisition, FSX aims to raise an additional Baht 1.99 billion through a rights offering at a ratio of 1:1 at Baht 2.3 per share. Subsequently, Gortune and its affiliates will become the largest shareholder group with about 46% interests in FSX. 

The financial business arm encompasses GF Securities, a top 5 broker in China, with more than 14,000 employees and 349 branches. Its mobile trading application has more than 40 million users. GF Securities is one of the most influential securities companies in China with its controlled subsidiary GF Fund Management ranking among the top 3 asset management companies in China.

 Mr. Chuangchai Nawongs, FSX’s CEO, stated that FSX, as a leading securities group in Thailand, shares similar business visions and directions with Gortune and anticipates strong synergies between the parties.  

FSX is currently in the process of seeking approval from shareholders’ meeting to authorize the issuance of new shares and the related transaction. Additionally, Gortune must seek approval from the relevant authority for the request for a waiver from making a tender offer for all securities of FSX, relying on the resolution of the shareholders’ meeting (Whitewash). This process is anticipated to span approximately three months.

Upon the conclusion of these proceedings, a comprehensive business plan will be formulated to outline the strategy for FSX to realize its aforementioned objectives. This strategic vision aims to establish the group as the prominent securities house in Thailand in a sustainable manner.

Chinese FA Condemns Violence After Zhejiang-Buriram Conflict in ACL

BEIJING – The Chinese Football Association on Thursday condemned all acts of violence on the football pitch, following a fracas during the Asian Champions League match between Zhejiang FC and Buriram United of Thailand.

Minutes after the conclusion of Zhejiang’s 3-2 home victory over Buriram on Wednesday, players and club officials from both teams were involved in a large-scale brawl on the pitch. Each side subsequently accused the other of wrongdoing by publishing videos on social media.

“The violence on the football pitch severely violated the sportsmanship, affected the order of the match, and made a bad impression on spectators. The CFA strongly condemns all kinds of violent acts on the football pitch, and we will assist the Asian Football Confederation to deal with the conflict in accordance with regulations,” the CFA said in a statement.

“The CFA will strengthen the supervision of all clubs and stakeholders. All Chinese football teams should strictly obey regulations in the international and domestic competitions, and respect referees, spectators as well as opponents,” the statement continued.

Families Reunite With 17 Thai Hostages Freed by Hamas at Homecoming

BANGKOK (AP) — Seventeen Thai workers released from captivity by the militant Hamas group were greeted Thursday by family and friends, officials and journalists in an emotional homecoming at Bangkok’s international airport.

The 17 are among 23 Thais freed so far, with six left temporarily behind in Israel because doctors said they were not yet fit to travel. Thai officials says another nine Thai hostages are still being held in Gaza.

Ratree Sampan, who traveled from the northeastern province of Nakhon Phanom, arrived early at the airport for the reunion with her son Buddee Saengboon.

“After the war broke out, I could not contact him,” said the 57-year-old Ratree. “For one month and 18 days, I assumed he was already dead.”

“I waited for a miracle, and it happened. He survived,” she said.

There were about 30,000 Thai workers — mostly laborers in the agricultural sector — in Israel prior to the Oct. 7 attack by Hamas, when militants stormed through a border fence and killed hundreds of Israelis — and 38 Thais.

Israel responded with devastating airstrikes and a ground offensive that has killed thousands, and has vowed to crush Hamas’ military capabilities. A cease-fire has now held for seven days, and Hamas has released 81 hostages, mostly Israeli nationals but also others, while Israel has freed 180 Palestinian prisoners.

The Thais generally come from poorer regions of Thailand, especially the northeast, and take the jobs in Israel because they can earn many times what they would at home. They started being recruited for such work several years ago to replace Palestinians who had been doing the same jobs.

Since the war broke out, about 9,000 Thais have been voluntarily repatriated, but some have already said they hope to return to Israel because of the money they can earn.

The freed hostages, several clad in white t-shirts with a picture of Thai and Israeli flags, arrived on a flight of the Israeli airline El Al and were shepherded to a hectic airport news conference. They are the first to make it home.

There were no dramatic stories of their captivity, however. Thai officials have followed the Israeli government’s lead in urging the released workers, their families and the media not to make public details of their time as prisoners to help ensure the safety of those still being held.

Most were spare with their words, but Nutthawaree Munkan— the only woman among the 17 — seemed to speak for all of them when she briefly addressed the media. “Thank you for all your support to bring me home,” she said, fighting back tears.

Former hostage Uthai Saengnuan called for a minute’s silence to remember the 39 Thais known to have died in Hamas’ unprecedented Oct. 7 incursion into Israel.

The releases are being seen as a triumph for Thai diplomacy and a number of Middle Eastern countries who have lobbied on the behalf of the hostages. Thailand’s prime minister put in a live video call to the airport to greet them.

“Are you happy? You’re home now,” said Prime Minister Srettha Thavisin.

The formalities finished, the workers were directed to get into a bus to head for their hometowns. One of the freed hostages, 30-year-old Pornsawan Pinakalo, was separately picked up by his father. They both hugged while Pornsawan kneeled down to hug his dad. Both cried with joy.

“I thought we’d lost him and now he’s back. It’s like the meaning of his name: a blessing from heaven,” his father, Kong Panasudlamai, told reporters.

Thai Foreign Minister Parnpree Bahiddha-Nukara, who had traveled to the Middle East to pursue the workers’ release and to greet them when they had been sent back to Israel from Gaza, was among the officials at the airport on Thursday.

“We will continue to work on this mission to ensure that the remaining nine hostages receive freedom and return to Thailand,” he vowed at the news conference.

PHATTHALUNG – Chaowalit Thongduang, also known as ‘Pang Na-nhoad’ or Wealthy Pang, a convict on the run, released the third video in which he argues that the court should better regulate in which cases bail can and cannot be granted.

Thailand Aims To Export More Bananas After Selling Japan 5,000 Tons

NAKHON RATCHASIMAThailand has recently signed the deal to export 5,000 tons of bananas to Japan after a labour shortage during the previous government hampered the order.

Chantapun Bunjamanon, director of the International Trade Promotion Department in Tokyo, said the office had previously worked with the Nakhon Ratchasima provincial trade office to bring Japanese banana experts to the area and show them how to grow bananas to meet the standard and quality of Japan.

Thailand is the last place in the world where the Gros-Michel banana is grown. Once the Japanese banana importers had tasted the banana, they were ready to sign the contract.

In addition to the province of Nakhon Ratchasima, the International Trade Promotion Department in Tokyo has also looked into other provinces such as Chiang Mai, Phatthalung and other provinces. 

On November 28, the Department of International Trade Promotion under the Ministry of Commerce signed a contract with P&F Techno Co., Ltd., a Japanese banana importer, in Nakhon Ratchasima province for the purchase of 5,000 tons of bananas worth 100 million baht.

 

“This export banana benefits from the Japan-Thailand Economic Partnership Agreement (JTEPA), which provides a tax exemption for 8,000 tons of Thai bananas. In the past, we were the ones who did not take full advantage of this benefit. This quota is a good opportunity for us to improve our banana exports. This is a quick win that can be achieved in 100 days with the money worth 100 million baht,” said Nuttiya Suchinda, deputy director of the Department of International Trade Promotion. 

Somsak Saengrum, president of the Sukpaiboon district banana farmers’ community business group, said they are happy and proud that their bananas from Seng Sang district are being exported to other countries for the first time.

He was sure that his bananas will be well received by customers in Japan as they are big, sweet and tasty. This contract signing will give more farmers a chance.

PM Congratulates the Released Thai Hostages Arriving in Thailand

BANGKOK – On Thursday, November 30, Prime Minister Srettha Thavisin congratulated and thanked all parties who made it possible for the fifth batch of four Thai people to be released, while the 17 released Thai hostages are on their way back to Thailand.

The 17 Thai people left Shamir Hospital in Ramle to take an El Al Airlines aircraft LY 081 and arrived at Suvarnabhumi Airport around 3 p.m. on November 30.

They thanked the prime minister, who is in Uttaradit province, via a video call, while the PM congratulated and told them if there is any information that would be useful, they can tell Panpree Bahiddha-Nukara, Deputy Prime Minister and Minister of Foreign Affairs.

“Throughout the period since October 7, all Thai people are concerned about all of you, give moral support, and try to do our best. I’m happy that today you return to Thailand,” the PM said.

The Ministry of Foreign Affairs also issued a statement that the Royal Thai Embassy in Tel Aviv has confirmed that six (6) Thai nationals were released on 28 (4th release) and 29 (5th release) November 2023 (local Israeli time).

They are now at the designated Shamir Medical Center and will undergo the necessary medical checkups, while The Royal Thai Embassy staff are on hand to contact their families.

The Associated Press reported that Israel and Hamas on Thursday agreed to extend a temporary truce by another day, minutes before it was set to expire, Qatar, which has been mediating between the two sides.

Negotiations on extending it came down to the wire, with last-minute disagreements over the hostages to be freed by Hamas in exchange for another day of a halt in fighting.

Word of the extension came just as the truce was to expire at 7 a.m. (0500 GMT) Thursday. The Qatari Foreign Ministry said the truce was being extended under the same terms as in the past, under which Hamas has released 10 Israeli hostages per day in exchange for the release of 30 Palestinian prisoners.

The announcement followed a last-minute standoff earlier Thursday, with Hamas saying Israel had rejected a proposed list that included seven living captives and the remains of three who the group said were killed in previous Israeli airstrikes. Israel later said Hamas submitted an improved list, paving the way for the extension.

Negotiators had been working into Thursday to hammer out details for a further extension of the truce. The expectation had been to extend the pause in fighting for at least another day or two, with the focus on releasing women and children.

The talks appear to be growing tougher as most of the women and children held by Hamas are freed, as the militants are expected to seek greater releases in return for freeing men and soldiers.
